    • Definitions:

Confidential Information means any of your information which is of a confidential or sensitive nature, which is marked or denoted as confidential or which a reasonable person to whom that information is disclosed or to whose knowledge the information comes would consider confidential.

Personal Information which has the meaning as defined in section 6 of the Privacy Act 1988 (Cth)” acquired from the other party.

Privacy Laws means any legislation or administrative requirement (as amended from time to time) imposing an obligation in relation to the collection, use, disclosure, storage and transmission of personal information which is applicable to a party in the performance of its obligations under this Agreement, including without limitation any codes, principles or guidelines contained in or arising out of such legislation.

We will ensure that its dealings with Personal Information:

  • to the extent that different Privacy Laws apply to each Party, conform with the statutory obligations applicable to the other party as if they were binding upon it.
  • Mandatory Data Breach Reporting

We shall:

  • immediately notify you if it becomes aware of any unauthorised access to, or unauthorised disclosure of, personal information under its control, and provide advice as to whether it considers that such security breach may result in serious harm to any individual to whom the information relates;
  • comply with any directive from you as to which party will discharge any mandatory reporting obligation arising from the incident;
  • conduct or assist you in conducting a reasonable and expeditious assessment of the breach or suspected breach; and
  • ensure compliance with all mandatory data breach reporting obligations arising out if the breach or suspected breach.
  • Confidentiality
    • We agree to keep the Confidential Information of the other party confidential and to use such information only for the purposes of performance of their respective obligations under this agreement.
    • We shall:
      • not disclose any Confidential Information of the other party to anyone else except as permitted under any service agreement between us;
      • limit the disclosure of the Confidential Information within its own organisation only to those of its officers and employees to whom such disclosure is strictly necessary for the purposes of this agreement and who have been made aware of its confidential nature and have agreed to keep the information confidential in accordance with the terms of this clause; and
      • not use the name of the other party in publicity releases, advertising or promotion of the party unless the other party has given its prior written consent (which must not be unreasonably withheld).
    • The obligations of confidentiality in this clause will not apply to information which:
      • is generally available in the public domain except where such availability is as a result of a breach of this agreement;
      • was known prior to the disclosure of the information by the other party; or
      • is required to be disclosed by an applicable law, court order or the ATO.
    • General
      • Final Determination

Any inconsistency or confusion as to any of the terms on this webpage must be explained or interpreted by MLTS. Such explanation or interpretation shall be final and binding between the parties.

  • Jurisdiction

These Terms of Access are governed by the laws in force of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the Courts of Victoria in respect to any claim made by either party against the other which in any way arises out of these terms.
